01.4. Describe your organisation’s investment principles and overall investment strategy, interpretation of fiduciary (or equivalent) duties,and how they consider ESG factors and real economy impact.

The strategy of the Fund is to originate and underwrite a diversified and defensive portfolio of mainly senior secured and selective subordinated investments that benefit from contractual and structural downside protections while offering attractive returns on an absolute and risk-adjusted basis. The Fund will occasionally participate in equity instruments alongside the debt investments to enhance the portfolio return. The portfolio companies will use capital provided by the Fund for acquisitions, growth, liquidity or refinancing. Apera Asset Management is committed to considering material ESG issues during its due diligence and in the monitoring of portfolio investments.

The Fund has various criteria for investments it will avoid including: lack of economic reason for existence; secular decline; over exposure to technological developments; poor management teams or low-quality equity owners; operation turnarounds; do not meet Apera's ESG policy.

The Conflict of Interest Policy is inplace, and updated on a regular basis to ensure its relevance to our practices. Apera will seek to use governance structures that provide appropriate levels of oversight in the area of potential conflicts of interest. These cover Strategies and Mandates, Personal Account Dealing, Gifts, Inducements and Entertainment, and Outside Business Activities & Directorships. Additionally, potential conflicts within the organisational structure have been outlined, and mitigated.
