Corpfin Capital's main investment principles are: i) distinctive sourcing, with a clear focus on own-deal creation; ii) transformational value creation through value driven investment and impact-driven ownership, and iii) demanding performance objectives consistently delivered in realised investments over the last 10 years.

Corpfin Capital's investment theses are: i) identifying disruption potential, ii) driving consolidation and iii) exploiting global advantage.

We create value in our business projects through long-term growth and transformation. Responsible management is an integral part of our identity, our value creation strategy; and our long-term success. At Corpfin Capital we are committed to excellence, respect and promotion of environmental, social and corporate governance aspects. In addition to applying ESG principles systematically in our organization, we consider the transfer of these objectives and values to each of our investee companies an integral part of our mission, contributing to the sustainable improvement of the environment and generating sustainable long-term returns for society.

Corpfin Capital investment policy excludes the following sectors following its business ethics and/or ESG reasons:

i) tobacco or distilled alcoholic beverages;
ii) gambling and related products;
iii) human cloning;
iv) genetically modified organisms;
v) any illegal economic activity, including any production, trade or other activity, which is illegal under the laws or regulations applicable;
vi) weapons and ammunition of any kind;

vii) casinos and equivalent enterprises, including internet gambling andonline casinos;
viii) animal testing;
ix) pharmaceutical activities which generate a substantial part of their revenues from prescription opioids;
x) pornography;
(xi) the research, development or technical applications relating to electronic data programs or solutions aimed at supporting excluded sectors or  are intended to enable to illegally: A.- enter into electronic data networks; or B.- download electronic data.
(xii) the exploration, mining or extraction of oil, gas, or natural resources expressly including tar sands, artic oil and coal;
(xiii) the generation of revenues from coal-based activities, including, but not limited to, coal power generation and/or electricity via a coal powered plant;
(xiv) speculative trading of food commodities (wheat, soy, corn, rice and potatoes);

We publish a summary regarding Corpfin Capital commitment to ESG in the company's webpage (wwww.corpfincapital.com).

We release a summary of ESG developments in each participated company to our LPs in our quarterly reporting and present it at the AGMs. We internally keep detailed annual, quarterly, at entry and at exit questionnaires as completed by the participated companies.

 


SG 03. Conflicts of interest

Conflicts of interest and prohibited investments:

1. Limits on the dealing in shares of directly or indirectly investee companies and its affiliates (applicable to Corpfin Capital and team members):

  • Refrain from buying, holding or dealing in any securities or other investments if Corpfin Capital’s funds hold the same or similar securities
  • During the commitment period refrain from investing in any securities or other investments issued or created by any company falling within the scope of the investment policy

2. Corpfin Capital’s funds will not invest in any entity in which the management company or any Corpfin member participates, without the prior consent of more than fifty per cent (50%) of the Advisory Committee.
3. The management company, Corpfin members and the fund investors shall not, unless expressly approved by more than fifty per cent (50%) of the Advisory Committee and only on an arm’s length basis, sell or purchase assets or securities to or from Corpfin Capital’s Funds.
4. Any contractual relationship with Corpfin Capital’s Funds will only be entered on arms-length basis and will be disclosed in the information regularly provided to the fund investors.
5. Any potential investment investment conflict has to be cleared by the Advisory Committee.
