Calvert ("CRM") is an investment adviser registered under the Investment Advisers Act of 1940, as amended ("Advisers Act"). Calvert is a Massachusetts business trust formed in August 2016 as a wholly-owned subsidiary of Eaton Vance Management ("EVM"). On December 30, 2016, Calvert completed its purchase of substantially all of the business assets of Calvert Investment Management, Inc. (“CIM”). Calvert’s purchase of the assets of CIM included all technology, know-how, intellectual property and the Calvert Research System and processes. After approval of the Board of Trustees and shareholders of the Calvert Funds, Calvert also became the successor investment manager to the registered investment management companies that CIM had been manager of prior to the transaction. In addition, Calvert hired the vast majority of the employees that were part of CIM's sustainability research department. As a result, references related to the activity of CIM prior to the purchase of its assets on December 30, 2016, are deemed herein to be the activity of Calvert.

EVM is a wholly-owned subsidiary of Eaton Vance Corp ("EVC"). Eaton Vance, Inc. serves as the trustee of Calvert and is a wholly-owned subsidiary of EVC. EVC is a publicly held corporation, the shares of which are listed on the New York Stock Exchange.

Calvert offers actively managed, passively managed and model-only investment advisory services that include (but are not limited to) a variety of responsible investment equity, fixed and floating – rate income, and multi-asset strategies. Calvert’s actively managed advisory service seeks to outperform one or more indices and/or peer groups by actively selecting investment opportunities. Calvert’s passively managed advisory service seeks to track the performance of one of the Calvert Responsible or Research Indexes.

The majority of the investment mandates that Calvert manages for its clients include responsible investment analysis, which integrates Calvert’s responsible investment research. Calvert generally invests based on the Calvert Principles for Responsible Investment (the "Calvert Principles"), as described on the company’s website (www.calvert.com) and in the description found in each applicable fund’s prospectus and statement of additional information.

Calvert is an indirect subsidiary of Eaton Vance Corp. (“EVC”) and uses the services of Eaton Vance Human Resources, IT, Legal, Compliance and Operations departments as well as other support teams. As of 12/31/19, EVC and its affiliates employed 1,906 professionals. Calvert's approximately 271 employees include investment professionals (those who perform investment research and management, including ESG research, corporate engagement, portfolio analysis and index construction), as well as sales professionals and others who perform administrative and business operations functions for Calvert.
