SG 07. RI roles and responsibilities

07.1. Indicate the internal and/or external roles used by your organisation, and indicate for each whether they have oversight and/or implementation responsibilities for responsible investment.

07.2. For the roles for which you have RI oversight/accountability or implementation responsibilities, indicate how you execute these responsibilities.

Investment team will have oversight and accountability roles for RI issues, will ensure the implementation of policies and achievement of its objectives and targets in relation to responsible investment performance, and will approve the Company’s environmental performance report to Investment Committee.
The Investment Analyst (ESG Coordinator) has responsibility for:
• Performing ESG Due Diligence of a target client company with respect to the Applicable Requirements;
• Supervising projects in the portfolio against on-going compliance with the Applicable Requirements;
• Preparing an annual environmental performance report based on the annual performance report prepared by client companies.
The ESG Coordinator will ensure that these procedures are implemented for each project, and that records of ESG reviews are maintained.
The ESG Coordinator will ensure that all investment decisions are supported by appropriate due diligence documentation (including, but not limited to, an ESG section in each final Investment Memorandum). The Company will also ensure that the PRI is notified if and when the current ESG Manager or the current ESG Coordinator leaves that position and will provide the PRI the name of the new Environmental Manager or Coordinator.

Legal Counsel will ensure that appropriate environmental representations, warranties, and covenants are incorporated in each stock purchase agreement.
