When a conflict of interest matter arises, and before taking any action on the matter, the Manager will determine what action it proposes to take, having regard to:

its duties under securities legislation; and
its policies and procedures.

If a conflict of interest matter arises for which there does not exist any policies and procedures, the Manager will develop appropriate policies and procedures and submit them to the IRC for review at the same time as the conflict of interest matter.
