Cape Ann does not outsource any engagement activities or proxy voting decisions to third parties.  In particular, we consider taking steps to actively consider and vote on every proxy ballot (to the extent practicable) to be an important part of Cape Ann's fiduciary responsibility to its clients.

Cape Ann treats its engagement activities on a stock by stock basis and will engage with portfolio companies when an ESG related issue arises where we consider direct interaction to be necessary. Cape Ann is developing engagement themes which we hope will be more appropriate the companies within our investment universe, such as enhanced disclosure of ESG related data from emerging market companies.

Whilst Cape Ann does not take an exclusionary approach to ESG investment issues, if we consider a company to be compromising the sustainability of its business as a result of a failure to properly tackle an ESG issue then, as with any other security, we would have the discretion to reduce our holding or divest from the security entirely. Such steps would typically be taken following engagement with company management.
