SG 07. RI roles and responsibilities

07.2. For the roles for which you have RI oversight/accountability or implementation responsibilities, indicate how you execute these responsibilities.

The CEO leads the investment committees for the new investments and the monitoring of the existent participations. His role is to promote and ensure that the incorporation of ESG is done during the Due Diligences/follow-up  by the PM and analysts. He has the decision not to invest in company whether the risks are too important and no way to resolve them in the future. This case never happened.

The Head of Business Development and Strategy is the contact of the institutional clients and responsible of the respect of the requests of clients about the management of the mandates. As such, he has specifically been the champion of the ESG project inside ISATIS Capital. However, he has delegated the supervisory of the implementation to an external consultant with whom, he has regular follow-up points on the implementation and helps the consultant to resolve some problems when they arise.

The portfolio managers are the direct contact of the companies in which they invest or aim to invest. Moreover, they have a key role to play within the board meetings to push the management for an implementation of the CSR. During the phase of the implementation of ESG within ISATIS Capital, they were in charge to send the ESG questionnaires to their participations and to communicate on the ESG Strategy of ISATIS. Once the implementation has been made, they are responsible of the analysis the ESG areas and they should identify the points which could represent some risks for the performance of the investment funds and/or that are not in line with the requests fo the clients. During this phase, the external consultant helps them. They are in charge to communicate and monitor any incident on ESG.

 The analysts are the support of the portfolio managers and in charge of the analysis of the responses to the ESG questionnaires and of exchanging with the companies when they need more clarification. Their responsibilities include incorporating in the investment notes or follow-up notes any add-value information regarding the ESG areas. This allows the members of the Investment Committees get all relevant information before making decision and allows the portfolio managers to lead discussion about ESG within the board meetings.

The external consultant has been recruited by ISATIS Capital at the last quarter of 2017. The objectives of the Consultant was to build the ESG incorporation process of ISATIS Capital and help ISATIS Capital to sign to the PRI principles (ESG Policy, ESG questionnaires, ESG swot and analysis, training of the portfolio managers and analysts, ESG provision in shareholder agreement). The consultant supervises the incorporation and should arise any failures about the respect of the ESG incorporation or of PRI principles with the CEO and Development and Strategy Director. Beyond those objectives, the consultant provides ESG studies and validates the ESG issues of each holding with the analysts and set up an action plan addressed to the portfolio manager.

The entire management team is involved in the implementation of the ESG incorporation process. We believe that the best way to successfully support companies on the path to progress in taking ESG issues into account is to involve the Investment Director (portfolio manager) , who is the main contact in this area with the companies he/she follows. The pedagogical aspect is strong and based on a constructive and trustful relationship with the leaders. In addition, we believe it is essential that the ESG integration process be designed and implemented with investment managers to ensure that the formalization is relevant to our specific universe of SMEs. The number 8 above is the number of the investment director in 2019 (6), the CEO and the Development and Strategy Director.
