          Corporate Governance in Thien Long Group (TLG)

At the end of 2018, Mr.Tho directly owned 6.45% of total TLG shares. Besides, he is the representation of Thien Long An Thinh Corp, which owned 51.66% of total TLG shares. This concentrated ownership in Thien Long Group could lead to some of corporate governance issues such as solid power in the company. Moreover, tthe percentage of independent Directors in BOD is not more than 1/3 of a total member of BOD as the recommendation of Corporate Law.

Outcomes

After several meetings through Company Engagement Program, VNH and Investment Manager worked with BOD of TLG to find the solution for some corporate governance issues. First, TLG agrees to clarify the role and contribution of BOD members, especially independent BOD members. Second, the key members of TLG could joint corporate governance training course at VIOD to improve their knowledge and apply in TLG for further. Thirdly, Mr. Tho - Chairman has a plan to reduce his ownership of company.

Scope and process

- ESOP policy: SCS plans to issue 2% in 3 years, equivalent to  0.67% each year, from 2019 to 2021. However, this policy is applied for only BOM and top managers.

- Poor Investor Relation activities quality.

- Poor annual report quality

Outcomes

After several meetings through Company Engagement Program, VNH and Investment Manager worked with BOD of SCS to find the solution for some corporate governance issues. Firstly, we suggested for SCS to expand their ESOP plan for both top managers and middle managers with a suitable block-up period. Secondly, we suggested some Investor Relations activities for SCS, including holding quarterly analyst meetings, issuing quarterly IR letters... which could attract more attention of both institutional investors and retail investors. Thirdly, we suggested SCS improving the quality of the annual report and provide more information about BOD members.

Scope and process

We were working with ABA for several times to solve some of ESG issues in the company. Some of issues are: 

- High electricity consumption in ABA's warehouses.

- Social issues related to staffs in company

- Poor BOD structure.

Outcomes

- The company currently has a monthly monitoring report for electricity and water consumption. In 2019, ABA also targets to reduce electricity consumption by 10% versus that of 2018.

- ABA  has insurance policies for all employees, especially for truck drivers. ABA has implemented a Benefit Policy for all company staff in Q32019. In which, employees who work on holiday would receive a higher salary. For example, truck drivers would receive VND 500,000/driver/day more when to work during the holiday. The company also has KPI systems and bonus systems for departments.

- The Company improves BOD structure by increasing the number of independent Directors in BOD and segregation between CEO and Chairman.
