The Forest Company Ltd. has an investment committee which operates under written terms of reference to consider and review any proposed investment whose value at the time of investment would equal, or exceed, 40% of the Company's then adjusted NAV (all other investments are approved by the investment committee of the investment manager). The duties of the committee are to review the proposed investment taking into account the commercial terms and its attractiveness for the Company in light of the Company's investment policy, in particular its provisions regarding diversification and portfolio balance.
