01.4. Describe your organisation’s investment principles and overall investment strategy, interpretation of fiduciary (or equivalent) duties,and how they consider ESG factors and real economy impact.

Auscap Asset Management Limited (Auscap) is a value-based Australian equities manager.  Auscap targets solid absolute risk-adjusted returns, looking to invest in companies that generate strong cash flows and are trading at attractive prices.

Auscap has a duty to act in the best interests of its funds’ unitholders.  Auscap recognises that ESG issues can affect the long-term profitability of companies which can in turn affect their share price and the performance of Auscap’s funds.  Accordingly, we believe that considering ESG factors within Auscap’s investment decision-making and ownership practices, provides greater insight into areas of potential opportunity and risk and is consistent with our fiduciary duty. As a result, Auscap includes an assessment of ESG factors for the purpose of selecting, retaining or realising any investments for its funds.

While Auscap considers ESG factors in investment analysis and decision-making, we are also aware of, and encourage, the broader benefits which improved ESG practices can bring, including:

  • increased market efficiency;
  • sustainable environment management;
  • higher standards of business conduct; and
  • improved outcomes for company stakeholders including employees and customers and the broader community.

01.5. Provide a brief description of the key elements, any variations or exceptions to your investment policy that covers your responsible investment approach. [Optional]

Auscap's Responsible Investment & ESG Policy (Policy) covers:

  • our definition of ESG;
  • how ESG factors are incorporated into investment analysis and decision-making for Auscap's funds;
  • our approach of actively engaging with the companies in which we invest and are considering investing in;
  • our policy of voting on all resolutions put forward by companies we invest in;
  • our approach to exclusions; and
  • the indirect outcomes of integrating ESG e.g. increased market efficiency and improved outcomes for the broader community.

In the Policy, Auscap recognises that ESG issues can affect the long-term profitability of companies which can in turn affect their share price and the performance of Auscap’s funds.  As a result, the Policy notes that Auscap includes an assessment of ESG factors for the purpose of selecting, retaining or realising any investments for its funds.

The Policy is approved by the Auscap Board and reviewed annually or more frequently as required to ensure that it remains current.

SG 03. Conflicts of interest

03.1. Indicate if your organisation has a policy on managing potential conflicts of interest in the investment process.

03.2. Describe your policy on managing potential conflicts of interest in the investment process.

Auscap Asset Management Limited's (Auscap) Conflicts of Interest & Related Party Transaction Policy requires Auscap and its employees to act in the best interests of its funds' members and, if there is a conflict between a fund's members' interests and the interests of Auscap, to give priority to the fund's members' interests.  As specified in its Responsible Investment & ESG Policy, Auscap recognises that ESG issues can affect the long-term profitibility of companies which can in turn affect their share price and the performance of Auscap's funds.  Accordingly, we believe that considering ESG factors within Auscap's investment decision-making and ownership practices provides greater insight into investment opportunities and risks and is consistent with our fiduciary duty.
