07.2. For the roles for which you have RI oversight/accountability or implementation responsibilities, indicate how you execute these responsibilities.

Board – Auscap Asset Management Limited's Board reviews the objectives for the Company’s responsible investment and ESG activities annually.  The Board also reviews and signs-off on the Company’s Responsible Investment & ESG Policy and any amendments to the Policy.  As the Company’s Portfolio Managers are Executive Directors and are on the Board, they are also responsible for the implementation of responsible investment (see below). 

Executive Directors and Portfolio Managers – The Company’s Executive Directors/Portfolio Managers are responsible for setting the objectives for the Company’s responsible investment and ESG activities which are then reviewed by the Board.  As Portfolio Managers, the Executive Directors incorporate ESG and responsible investment issues into their investment analysis and decision-making for the managed funds under Auscap's responsibility in accordance with the Responsible Investment & ESG Policy.  The Portfolio Managers also actively engage with the management teams and, where appropriate, the boards of companies in which the Company invests or is considering investing in. 

Investment Analysts – The Company’s analysts are responsible for implementing the objectives of the Company’s Responsible Investment & ESG Policy into their investment analysis.  For example, our analysts conduct research in order to analyse the ESG factors (including risks) that an investment is exposed to and the impact material ESG factors may have on the value, earnings and future prospects of the investment.  The Company’s analysts are also responsible for actively engaging with the management teams and, where appropriate, the boards of companies in which the Company invests or is considering investing in. 

General Counsel – The Company’s General Counsel is responsible for researching resolutions put forward by companies that we invest in and making recommendations to the Executive Directors/Portfolio Managers regarding proxy voting.
