01.4. Describe your organisation’s investment principles and overall investment strategy, interpretation of fiduciary (or equivalent) duties,and how they consider ESG factors and real economy impact.

Genstar focuses on making control investments in North American middle-market businesses in Genstar’s four core industry verticals of Financial Services, Software, Industrial Technology, and Healthcare (the “Core Verticals”). Specifically, Genstar targets businesses that have the potential to be transformed into industry leaders through a rigorous focus on human capital and strategic business improvement.

Genstar investigates relevant, applicable ESG issues as part of the due diligence process for each portfolio company acquisition, with the goals being to mitigate any material investment risk while enhancing investment return wherever possible. At the conclusion of the due diligence process, any material findings are incorporated as part of the final reporting by our deal professionals to the Investment Committee. Further, we enhanced our ESG program by developing a formal ongoing management and monitoring program to mitigate ESG risks and invest in ESG opportunities throughout our ownership period. We follow up on risks identified in diligence, noting where progress has been made and where there are opportunities for further improvement. We perform this monitoring process on an annual basis as well as at exit to measure the full impact of our ESG monitoring over the hold period.

Genstar's code of ethics and internal investment policies are designed to address any potential conflicts of interest that may arise. On an annual basis, all Genstar employees are required to certify their compliance with the code of ethics and policies and procedures set forth. In resolving conflicts, Genstar considers various factors, including the interests of the applicable funds with respect to the immediate issue and/or with respect to their longer term courses of dealing.
