International Farming Corporation ("IFC") focuses on the acquisition of diverse farmland and agricultural assets with the potential to create new and optimized investor value through improved crop mixes, remediation, capital expenditure, active management, the application of best practice, and innovative technology. We seek to create new value in the agricultural communities in which we operate and employ principles and practices that leave the land better than we found it. We are currently refining our approach to quantifying our impact and success in achieving these goals.

IFC's investment documents are made available to current investors and to qualified prospective investors (upon request). IFC's Funds are all governed by stated investment objectives and mandates that detail our strategy, execution capability, and target return ranges.

IFC is sensitive to conflicts of interest in its investment activities and has built governance mechanisms into its decision-making processes to prevent conflicts in the first instance and to address the conflicts that do arise. IFC's Investment Committee is comprised of members of management (and one outside advisor) that are not members of the Acquisitions team. We believe this enables and encourages objective decision-making by the Investment Committee. In addition, the limited partnership agreements for the funds managed by IFC contain provisions establishing limited partner advisory boards (the "Advisory Boards") and requiring the consent of the Advisory Boards in certain conflict situations. IFC communicates with each Advisory Board on a quarterly basis and on an ad-hoc basis as necessary to timely address any issues or opportunities requiring the Advisory Board's input or consent.
