SG 03. Conflicts of interest

Portfolio managers provide portfolio services for institutional separate accounts, mutual funds, and collective vehicles. Portfolio managers may manage proprietary accounts and private funds, as well as other accounts or funds that follow essentially similar strategies. There may be a number of potential conflicts of interest as a result of various factors, including that: (i) portfolio managers investments in the proprietary accounts or private funds; (ii) management fees may be higher than for other products and funds; and (iii) performance incentive fees received by Voya IM.

Voya IM has implemented policies and procedures within its compliance program and established a Conflicts Committee, designed to monitor for conflicts. The compliance program covers numerous activities that may raise conflicts of interest including personal trading, maintaining insider information, marketing and other firm disclosures, client trading practices (including policies addressing best execution, and trade aggregation and allocation). The compliance program is designed to meet regulatory standards and industry best practices. The Conflicts Committee meets on a quarterly basis and reviews trade allocations to confirm fairness of allocations.  The Committee is chaired by the CCO and is facilitated by the Compliance department.  Voya IM conflicts of interests are disclosed more fully in its Form ADV.
