SG 03. Conflicts of interest

03.1. Indicate if your organisation has a policy on managing potential conflicts of interest in the investment process.

03.2. Describe your policy on managing potential conflicts of interest in the investment process.

 No employees shall serve on the board of directors of any
            company without prior authorization from our Investment
            Committee based upon a determination that the board service
            would not be inconsistent with the interests of the Investment
            Funds.  Each employee must disclose to, and obtain the
            consent of, the Chief Compliance Officer prior to (1) accepting
            employment of any type outside of Olympus, (2) serving as an
            officer of any business or organization (for profit and
            not-for-profit), or (3) having a financial interest in another
            business organization other than a public company.  Any employee
            who engages in such approved activity or business should
            limit such business or activities from our office and should
            not otherwise behave in such manner that might imply that such
            activities are being conducted by or with the approval of Olympus
            (except if serving on the board of directors of a portfolio
            company).

      We also have policies governing potential conflicts of interests
      regarding Voting of Proxies, Trading of securities and potential
      conflicting monitoring.
